1. Who we are

LAYON ("the Software", "LAYON", "we", "us", "our") is a professional album design product operated by AFVMEMORIES SRL, a company registered in Romania. Our website is https://getlayon.com and you can reach us through our contact page. By downloading, installing, purchasing or using LAYON you agree to these Terms and Conditions. If you do not agree, please do not use the Software.

2. What LAYON does

LAYON is desktop software for photographers used to create photo album layouts and export print-ready album designs. It also includes an optional client-approval ("proofing") feature that lets you share album previews with your clients for feedback.

3. Free trial and licenses

You can evaluate LAYON with a 14-day free trial. After the trial, continued use requires a paid license. A license grants you a non-exclusive, non-transferable, perpetual right to install and use LAYON on up to 2 (two) devices that you own or control. Your license key is personal to you; you may not share, sublicense, sell, rent, or transfer it. We may deactivate a license that is used in breach of these Terms.

4. System requirements

LAYON is a desktop application for Windows 10 or Windows 11 (64-bit). An internet connection is required to activate and periodically validate your license (see section 5). It is your responsibility to ensure your computer meets these requirements; the free trial lets you confirm LAYON runs on your system before you buy.

5. Activation and offline use

Your license is activated online and bound to your device, and LAYON checks it when it starts. If your computer is temporarily offline, LAYON keeps working during a short offline grace period (about 7 days) from the last successful check; after that, an internet connection is needed to validate the license again. You can deactivate a device from within the app or from your account portal to free a slot for another machine.

6. Updates

Your license includes all updates within the current major version (new tools, improvements and bug fixes) at no extra cost. Future major versions may be offered to existing customers at a discounted upgrade price. We may change, add or remove features over time to keep improving the product.

7. Payments and Merchant of Record

Payments for LAYON are processed by Paddle (Paddle.com Market Ltd), which acts as the Merchant of Record and authorized reseller of LAYON. When you buy a license, your purchase is also subject to Paddle's checkout and buyer terms, and Paddle is responsible for billing, payment processing, tax collection and invoicing. You must comply with Paddle's applicable payment terms to complete a purchase.

8. Your content

You retain all rights to the albums and images you create with LAYON, and you may use them for any lawful purpose, including commercial projects for your clients.

9. Client proofing

The proofing feature is optional and, while experimental, is free for all users until September 30, 2027. When you use it:

  • You warrant that you have the right to upload the album images and to share them with the client you choose, and that doing so does not infringe anyone's rights.
  • In relation to your clients' images, you are the controller of that content and AFVMEMORIES SRL acts as a processor that stores and displays the previews on your behalf, solely to provide the proofing service.
  • Preview images are stored in secure cloud storage and shared through a private link with an unguessable token. You control who receives the link; anyone with the link can view that album's previews.
  • Previews are temporary: they expire after 30 days and are permanently deleted once the album is marked as sent to print. Storage and file sizes may be subject to reasonable limits.

10. Intellectual property

The LAYON software, its name and branding, its user interface, and the content of this website remain the exclusive property of AFVMEMORIES SRL and are protected by intellectual property laws. These Terms grant you a license to use the Software; they do not transfer any ownership rights in LAYON to you.

11. Acceptable use

You agree not to: (a) reverse engineer, decompile, or disassemble the Software except where permitted by law; (b) resell, redistribute, or make the Software available to third parties; (c) bypass, disable, or tamper with licensing or activation; (d) remove or alter any proprietary notices; or (e) use LAYON for any unlawful purpose or in any way that infringes the rights of others.

12. Disclaimer of warranties

The Software is provided "as is" and "as available". While we work hard to keep LAYON reliable, we do not warrant that it will be entirely error-free or uninterrupted. To the extent permitted by law, we disclaim implied warranties not expressly stated here.

13. Limitation of liability

To the maximum extent permitted by applicable law, our total liability arising out of or relating to the Software or these Terms will not exceed the amount you paid for your license in the 12 months before the event giving rise to the claim. Nothing in these Terms limits any liability that cannot be limited under applicable law, including your statutory consumer rights.

14. Support

Support is available through our contact page. We aim to respond within 2 business days.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "last updated" date above. Continued use of LAYON after an update means you accept the revised Terms.

16. Governing law and disputes

These Terms are governed by the laws of Romania, except that your purchase transaction may also be governed by Paddle's buyer terms where those apply. This does not deprive you of any mandatory consumer protections available to you under the law of your country of residence. If you have a complaint we cannot resolve directly, you may be entitled to use an alternative dispute resolution scheme available to consumers in your country.
